TERMS AND CONDITIONS OF LORAN QUALITY CONTROL AND CALIBRATION PURCHASE
1. GENERAL TERMS
1.1. Delivery Instructions: Unless otherwise specified by Loran Aerospace Incorporated, the shipping address and on-site service address details are as follows:

1.2.4. Subject: The service or hardware considered or ordered to be purchased
1.3. Order Acceptance and Supplier Responsibilities: Upon writing, verbally, or documented acceptance of the purchase order by the supplier, means that all terms of the conditions listed in this contract are accepted by the supplier.
1.4. Vendor ID Number: In the scope of Quality Control Laboratory requirements, Loran only works with suppliers or impartial laboratories with enough capability and accreditations for the purchase subject. New suppliers should ensure they receive a Loran Vendor ID Number before completing the first order activation.
1.5. Subject Transferring: Neither the order nor any interest therein nor shall claim thereunder be assigned or transferred by the supplier except as in-writing authorization by the Loran. The supplier knows, accepts, and confirms that one of the significant terms of this contract is that neither all nor substantially all of this order may be further subcontracted without Loran's prior written consent.
1.6. Subject Changing or Revision: Loran may, at any time, make changes to an order in writing. If any such change causes an increase or decrease in the cost or any extra time required to implement the order subject, the price and/or delivery schedule will be equitably adjusted, and the Purchase Order will be modified.
1.7. Supplier Score: Loran maintains a supplier evaluation score system to comply with the Loran QMS requirements. The supplier score is the main criterion for evaluating and qualifying a supplier for the purchase order awarding process.
1.8. Delivery Documents and Packing: The seller shall supply a proper Bill of Lading signed by the carrier or any other legally applicable documents providing title to the goods to the purchaser upon delivery, fully protecting all parties in case of damages in transit. The supplier will bear all costs incurred due to improper packaging.
1.9. Maintain the Documents: The seller must maintain the records associated with the Purchase Order for a period of at least 10 years.
1.10. Supplier Visit: Loran retains the right to visit the impartial laboratory to determine the laboratory's capability and compare its certificates with its actual testing/calibration capabilities.
1.11. Acceptable Limits and Standards: The purchase requirements are the main criteria for meeting the acceptable limits and standards as directed and controlled by Loran. The impartial laboratory is responsible for performing the testing or calibration service as certified and accredited in accordance with the requirements.
2. SPECIAL TERMS
2.1. Non-conformity or Counterfeit Parts: The seller must notify Loran of any non-conforming processes, products, or services, and Loran must approve their disposition.
2.1.1. To complete the purchase requirements, the seller must prevent the delivery of counterfeit parts or materials.
2.1.2. Contact Loran for any questions related to counterfeit material prevention and control.
2.1.3. Any nonconforming materials, parts, assemblies, subassemblies, systems, subsystems or services shall be documented and reported to Loran within 24 hours.
2.2. Supplier Code of Conduct: The supplier always acts according to the Supplier Code of Conduct (Docs. Nr. 683494). The seller is expected to act ethically, honestly, and with the highest standard of personal integrity in the performance of work, product/service conformity, and product safety.
2.3. Shelf Life and Age-Controlled Materials: for the products that have shelf-life limits, Loran only accepts the products if the product has a minimum 75% shelf-life at the delivery of the product.
2.4. Quality Control System Requirements: The calibration laboratories or impartial laboratories must have a valid accreditation equal to the minimum ISO 17025 Standard or be accredited by the National Institute of Standards and Technology. The laboratory should notify Loran of any changes to certification status.
2.5. Acceptable Standards for The Calibrations: The calibration laboratory must perform the calibration services according to minimum following standards or equivalent standards published by ASMT, SAE or ISO organizations.

2.6. Responsibility of the Impartial Laboratory: The impartial laboratory is responsible for performing the testing or calibration service in accordance with the final revisions or updates on the required standard. The impartial laboratory shall also certify that the latest and valid version of the standard was applied to the relevant equipment during calibration or testing service.
2.7. Standard Detail: The applied standard name, standard code (number), and the revision number of the standard must be indicated in the calibration or the testing certificate.
2.8. The requirements unlisted in this purchase order but listed in the Loran Terms and Conditions of Purchase Order document are a valid part of this purchase order.
